What Is Included In Our Fees For Secretarial Services Or Optional Extras

Nominee Shareholders:

There is a statutory requirement for a minimum of one shareholder, and for the details of shareholders to be put on public record. Upon purchasing a Gibraltar Company (be it a “Ready Made/Shelf Company” or a “Tailor-Made Company”), you can either act as a Shareholder in your own name, or apply for us to provide you with a Nominee Shareholder to secure your anonymity. Nominee Shareholders are supplied in conjunction with a Nominee Shareholders Agreement in the form of a Trust Deed which formalises the relationship between ourselves and our client as your fiduciaries.

Nominee Shareholders Agreement in the form of a Trust Deed:

If you opt for Nominee Shareholders, we will hold your shares in Trust in the form of a Nominee Shareholders Agreement or Trust Deed which will safeguard your anonymity.

Corporate Directors:

There is a statutory requirement in Gibraltar, for a minimum of one director to be appointed in a Company, although a Company Secretary must also be appointed who cannot also be the Sole Director. The details of Directors relating to Gibraltar companies are required to appear on public record at the Gibraltar Companies Registry. Upon purchasing a Gibraltar Company (be it a “Ready Made/Shelf Company” or a “Tailor-Made Company”), you may either choose to act as a Director in your own name, or apply for us to provide you with Corporate Directors to secure your anonymity. Corporate Directors will only be provided upon careful consideration of the proposed business of the Company, and the signing of a Letter of Indemnity to formalise an understanding between ourselves and the client as to the level of responsibility being adopted by each party.

Opening Of Bank Account:

If you were wishing to open a bank account in your Company’s name, you could take advantage of our knowledge of the different types of accounts and services offered by local banks for corporate investors.

Business Office Address With P.O.Box + Mail Forwarding Facilities

Should you be in need of Mail Forwarding facilities for your Company, Form-A-Co (Gibraltar) Limited is pleased to be in a position to supply you with a Business Office Address (separate to the Company’s Registered Office Address) together with a P.O. Box for the purposes of receiving and onward forwarding of mail immediately upon receipt of the same.

This service is renewable on an annual basis, and can be linked to a Personalised Telephone Answering and Fax Service Facility.

Personalised Telephone Answering And Fax Service Facilities

Form-A-Co (Gibraltar) Limited is pleased to provide clients with the installation of personalised telephone lines (with their own personalised telephone number) and personalised answering service for the attendance to any calls received in the name of a client company/individual.

Our set-up costs in respect of this service are inclusive of the installation of a personalised telephone line, and security deposit refundable to the client upon his giving-up his interest in its continued use.

Fax facilities can also be made available on a separate line, with faxes received for the client being forwarded on for his attention either via Air Mail or via fax, subject to the client’s preference.

Spanish Translation Of Memorandum And Articles:

We have by far the cheapest Spanish Translation of a Memorandum and Articles of Association on the market. It is available exclusively to our customers and has been translated and certified by a Notary Public. The translation can be crucial for purposes such as:

  • The Opening of a Bank Account in Spain
  • The Purchase of Property in Spain
  • The Re-sale of Property in Spain
  • If your first language is Spanish, to enable you to understand what your Memorandum and Articles empower your company to do.
  • Any other service(s) requiring a Certified Spanish Translation of your Memorandum and Articles.

Company Searches:

Acting on your instructions, we will carry out company searches at the Gibraltar Registry, and order copies of the relevant sections and/or pages of interest. Search results can normally be made available within 24 hours.

N.B. Disbursements and all out-of-pocket expenses other than those covered above will be billed as and when incurred, payable immediately against the invoice.

FORM-A-CO (GIBRALTAR) LIMITED was founded in 1989 to conduct the business of Company Formation and administration and all ancillary services. Jonathan’s role from the outset was to serve as the firm’s Manager, creating its product line and devising its services. Since that date, Jonathan has overseen the evolution of the business as the firm’s Managing Director to incorporate Trust and Marine administration into its range of products, and steering it through the various compliance and regulatory challenges arising from the application of Financial Services Regulation in Gibraltar as from 1993, with the establishment of the Financial Services Commission itself.To this day, Jonathan’s role is to oversee the management of the firm’s Company Formation and Trust Administration services (through FORM-A-TRUST (GIBRALTAR) LIMITED), and the incorporation of small businesses in Gibraltar to service the local economy, whilst retaining executive responsibility for all compliance and regulatory led initiatives for the firm. 

  • Over 31 years working in Gibraltar’s Financial Services industry as Managing Director of a firm which is duly licensed by the Financial Services Commission to conduct Company Management and Trust Administration services. 
  • Registered with the Supreme Court to serve as a Commissioner for Oaths in Gibraltar. 
  • Licensed by the Financial Services Commission to provide Directorship services as an approved individual. 
  • Approved by the Financial Services Commission to serve as an EIF (Experienced Investor Fund) Director. 
  • Member of the Gibraltar Advisory Board of TFO Tax Strategies Limited – a Manchester-based business dedicated to wealth management and tax planning structures.

Charles joined FORM-A-CO (GIBRALTAR) LIMITED in 2012 after 30 years in the banking sector. He was responsible for the creation and development of Trust businesses at  Lloyds TSB  Bank Plc  and at SG Hambros  Bank & Trust. 

Charles is a Director of FORM-A-CO (GIBRALTAR) LIMITED with particular responsibility for  the  Trust Administration services (through FORM-A-TRUST (GIBRALTAR) LIMITED) as well as client relationships.

Charles brings an array  of skills and experience to the business and holds appointments in listed Companies.
